الملخص

الأصل ان لكل شريك حق البقاء في الشركة وعلى الرغم من قوة هذا الحق في يضمن وجوده كشريك في الشركة طالما رغب بذلك دون ان يكون لاحد إجباره على الخروج ، الا ان هذا الحق ليس مطلق فيجوز الخروج عنه بتطبيق عقوبة الفصل بحقه متى ما تسبب ذلك الشريك سواء بإرادته او دونها ما يبرر، والهدف من ذلك لأجل حماية الشركة من جهة، و فرض جزاء مناسب على الشريك المفصول من جهة اخرى كي لا يؤثر سلباً على استمرارها بنشاطها ومن ثم يحول دون انقضائها بشكل مبكر قبل تحقيق غرضها، وبفصل ذلك الشريك فأنه يترتب عليه جملة من الاثار القانونية إزاءه ، لكونه يؤدي الى فقدانه لصفة الشريك الامر الذي يؤدي الى اكتسابه بعض الحقوق وفقدانه بعضها، فضلاً عن إعفاءه من الالتزامات المفروضة عليه كشريك و بذات الوقت تفرض بعض الالتزامات التي يجب عليه القيام بها والا تقرر مسؤوليته كجزاء عن الاخلال بها .
