الملخص

 

إن التنظيم القانوني المشجع للاستثمار لا يتمثل بمجرد زيادة المزايا التي تمنحها للمستثمرين وانما يضاف إلى ذلك التقليل من احتمالات المخاطر ، وتوفير الأمان والثقة بالعلاقات الاستثمارية ، فإذا كان رأس المال يستهدف بطبيعته ، تحقيق الربح ، فانه يعمل على تحقيق الهدف المذكور في بيئة يسودها الأمن والضمان ، لأنه مهما أغدقت الدولة المضيفة على الاستثمار الأجنبي من إعفاءات ومزايا ، فإن ذلك بعد الفائدة مادام لا يوجد ضمان حقيقي ضد الإجراءات الحكومية التي تجرد المستثمر الأجنبي من ملكيته، وعلى الأخص الإجراءات الحكومية السالبة للملكية ، مثل المصادرة و التأميم ، فقد تضمنت قوانين الاستثمار العديد من الضمانات التي تقضي بعدم الاستيلاء على أموال المستثمرين إلا طبقا لما تقضی به قواعد القانون الدولي

وهذا يعني أن الحماية القانونية لا تتمثل بصورة أساسية في مدى ما توفره القوانين من ضمانات موضوعية لحماية الاستثمارات الأجنبية فحسب بل في مدى فاعلية هذه القوانين عند نشوء تلك المنازعات بينه ، وبين الدولة المضيفة ، كما وان تحديد القواعد الخاصة بالحماية الموضوعية لا يكفي لطمأنة المستثمر الأجنبي بل يتعين لكفاية هذا الاطمئنان وجود وسائل إجرائية لتسوية المنازعات بينه وبين الدولة المضيفةوفي هذا البحث سنتناول دراسة طبيعة عقد الاستثمار وآلية الرقابة على مشروعات الاستثمار ودراسة الآثار القانونية لعقد الاستثمار في الأملاك العامة ونتطرق الى انواع الرقابة وأثارها على مشروعات الاستثمار وايضاً الوسائل البديلة والقضائية لتسوية منازعات عقود الاشغال العامة ضمن الوسائل البديلة لتسوية منازعات عقود الاشغال العامة ودور القضاء الوطني للدولة ومحكمة الاستثمار العربي وتوصلنا الى ان جميع التسهيلات والاعفاءات والمزايا والضمانات التي اقترحها المشرعون لا بد من من وجهة نظري التركيز عليها ومعالجة ما إذا كانت هناك خلافات أو خلافات على عقود الاستثمار وخاصة المنازعات الناشئة عنعمليات الاستثمار ومكانها في قانون الاستثمار العراقي ، كما فرض المشرع سلسلة من الالتزامات على المستثمرين الأجانب بهدف تنظيم عملية الاستثمار الأجنبي في العراق. ولا يوجد حافز للمستثمرين الأجانب أي معوقات للاستثمار في البلاد و ندعو إلى الإسراع بإصدار اللوائح والتوجيهات لتسهيل تطبيق القانون رقم (13) لسنة 2006 ، الذي يفصل المزايا والضمانات الممنوحة للمستثمرين الأجانب ، وكذلك الالتزامات التي يجب على المستثمرين الأجانب الامتثال لها.
